Terms of Service

Overview

Adnyro is operated ahead of completing formal incorporation. The legal entity name and registered address will be added here before commercial onboarding begins; the intended jurisdiction is the United Arab Emirates, or wherever Adnyro is ultimately incorporated ("Adnyro," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Adnyro website, advertiser platform, publisher platform, and native advertising widget (together, the "Platform"). By creating an account or using the Platform, you agree to these Terms.

If you are using the Platform on behalf of a company, you confirm you have authority to bind that company to these Terms.

Accounts & Eligibility

• You must be at least 18 years old and able to form a binding contract to register an account.
• You are responsible for keeping your account credentials confidential and for all activity under your account.
• New accounts are reviewed before they can launch campaigns or serve ads on the network, at our discretion.
• You must provide accurate registration information and keep it up to date.

Advertiser Terms

As an advertiser, you are responsible for the accuracy, legality, and quality of every campaign, creative, and landing page you submit. You agree that:

• Every campaign and creative may be reviewed by Adnyro before it is eligible to serve, and may be rejected or paused at our discretion.
• You will not submit creatives or landing pages that violate our Acceptable Ads Policy.
• Clicks and impressions are measured by Adnyro's own systems; these measurements are the basis for billing and are final absent a demonstrated system error.
• You are billed only for clicks that pass our fraud and validity checks — invalid clicks are never billed.

Publisher Terms

As a publisher, you are responsible for the website(s) and placement(s) you submit. You agree that:

• Every website you add must be reviewed and approved before it can serve ads.
• You will not encourage, incentivize, or artificially generate clicks or impressions on any placement.
• You will comply with our Content Guidelines for the content your site carries alongside Adnyro placements.
• Revenue share is calculated per our then-current published rate (50% of net advertiser spend by default, see Publisher Policy) and is based on Adnyro's own measurement systems.

Fees & Payments

Advertisers are billed on a cost-per-click (CPC) basis against funds held in their account balance. Publishers earn a share of net advertiser spend on valid clicks, payable on request once minimum thresholds we publish from time to time are met.

Current stage of the platform: advertiser account funding and publisher payouts are currently processed manually by our team rather than through an automated third-party payment gateway. We will update this section and notify active accounts when automated payment processing is introduced.

Prohibited Use

You may not use the Platform to: violate any applicable law; infringe someone else's intellectual property or privacy; distribute malware or deceptive software; generate or facilitate fraudulent clicks or impressions; scrape, reverse-engineer, or interfere with the Platform's normal operation; or attempt to circumvent our review, billing, or security systems.

Content & Ad Review

Adnyro reviews campaigns, creatives, and websites before and after they go live, and may reject, pause, or remove any campaign, creative, or site that we determine — at our reasonable discretion — violates these Terms, our Acceptable Ads Policy, or our Content Guidelines.

Suspension & Termination

We may suspend or terminate your account for violating these Terms, suspected fraud or abuse, non-payment, or extended inactivity. You may close your account at any time by contacting us; outstanding advertiser balances and publisher earnings will be settled per our standard process.

Disclaimers & Limitation of Liability

The Platform is provided "as is." We do not guarantee any specific level of traffic, clicks, revenue, or campaign performance. To the maximum extent permitted by law, Adnyro is not liable for indirect, incidental, or consequential damages arising from your use of the Platform.

Governing Law

These Terms are governed by the laws of the United Arab Emirates, or wherever Adnyro is ultimately incorporated, without regard to conflict-of-law principles.

Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
